MONTHLY MEMBERSHIP AGREEMENT INCORPORATING TERMS AND CONDITIONS
By becoming a member of Accredited Members Inc. (“AMI”), subscribing to the AMI Analyst Report ("Report), and getting full access to the website maintained by AMI the (“Site”) you, the “Member”, agree to the following terms and conditions. Your membership will not be processed unless you agree to the terms of this agreement by checking the relevant acceptance box on the website registration form.
I. Membership to the Site and Subscription to the Report - Member agrees that access to the Report, and the use of, the membership portions of the Site is provided by AMI to Member on the conditions set forth below (including the Privacy Policy located on the AMI website). Although the privileges, features, and content of the Site may change or be updated AMI is under no obligation to update or provide information or services on the Site and some information and services by be changed at any time.
While AMI represents and warranties that all content provided by AMI employees and analysts is independent, non paid for and "3rd party" from issuing companies AMI does not make any representations or warranties whatsoever with respect to the content on our Site that is written by non-affiliated financial experts and analysts including, but not limited to, the knowledge of, quality of care used by, or expertise of any financial expert or analyst providing information or other content for the Site. AMI will use care in disclosing information on the site contributed by non-affiliated writers. As it relates to "profiles" on the site, Issuer Companies are solely responsible for their own content as posted on their respective profile pages. This content may not reflect the views of AMI.
The Member's use of the Site's content and content of the Report are at the Member’s own risk and are provided "AS IS." Transmissions over the Internet and communications networks are not in our control and can never be completely secure. Accordingly, AMI cannot and shall not be liable for any delay, failure, interruption, compromise or corruption of any data or other information transmitted in connection with use of the Site.
AMI does not guarantee the accuracy, completeness or usefulness of any information on the Site and AMI does not endorse and is not responsible for the accuracy or reliability of any opinion, advice or statement made by anyone other than AMI on the Site. We will not be responsible for any loss or damage resulting from any Member’s reliance on information or other content posted on the Site or transmitted to or by any Members. Further, we do not guarantee or promise any specific results from use of the Site.
TO THE FULLEST EXTENT PERMITTED BY LAW, AMI AND THE SITE DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, STATUTORY AND OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
II. Membership Fees. Members are required to pay a monthly membership fee of $49.95 per month. The initial monthly fee must be paid in full at the time of registration using the credit card payment options, and a monthly recurring payment of $49.95 will be billed automatically thereafter. Member agrees and acknowledges that the recurring monthly fees associated with this monthly agreement are NON-REFUNDABLE in whole or in part upon the Member being provided, or given access to, the monthly AMI Analyst Report. In choosing to agree to the terms and conditions of the Membership, the Member is authorizing AMI to bill recurring, monthly payments of $49.95. Member's failure to abide by the terms and conditions may result in the immediate termination of the membership, and Member's entire associated monthly fees will be forfeited.
III. Other Membership Privileges. AMI agrees to provide the Member various services and products including a research report on various stocks and/or companies produced and prepared by AMI known as the “AMI Analyst Report” every month, which report will contain research and information on certain stocks and companies. The first Analyst Report will be automatically delivered upon completing registration and payment being authorized and approved.

IV. Member Information. The Member acknowledges that becoming a member means the following information must be provided to AMI in full: Name, Address, Phone, Email, Member Age: (Member must be age 18 or over).
V. Non-Solicitation. The Member agrees that the Analyst Report, access to the Site, conference attendance or other AMI events and/or products are not to be used as a conduit, channel, or tool for direct or indirect solicitation by any method to any other Member(s) for individual or company products or services, either within or publicly outside of AMI. Access to the Report, Site, attendance at conferences or receipt of quarterly magazine may be withdrawn without recourse or warning if any Member is found to be using the website, or the information contained therein, for this or any other improper purpose.
VI. Refund Policy. The Member agrees that paid membership fees are NON-REFUNDABLE. Upon the Member being provided, or given access to, the monthly AMI Analyst Report, the membership is considered fulfilled for that month and is non-refundable. The Member may cancel the membership for the next month and the credit card will not be billed automatically thereafter. Upon cancellation, the Member will not have access to future AMI Analyst Reports, or the other privileges listed in Membership Privileges above, or any other products and services offered by and through AMI.
VII. Information Does Not Constitute Professional Advice. The contents, including information, text and graphics and all other material contained on the Site or features and functions we make available on our Site are for your personal informational purposes only. The Content is not intended to be a substitute for professional financial, investment, tax or legal advice.
VIII. Privacy Policy. The full Privacy Policy is available on the AccreditedMembers.com website for the Member to view the policy before completing the membership.
IX. Law that Applies; Interpretation and Modification. You expressly agree and personally submit to the exclusive jurisdiction of the courts of the State of Colorado, to adjudicate and resolve any dispute with AMI, its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and Content providers or in any other way relating to the Site, including, Content or Member Content. YOU HEREBY VOLUNTARILY AND IRREVOCABLY WAIVE YOUR RIGHT TO A JURY TRIAL OR TO CLAIM THAT THE STATE OF COLORADO IS AN INCONVENIENT FORUM TO HEAR CLAIMS AND DISPUTES.
These Terms and Conditions are governed by the substantive laws of the State of Colorado, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
X. Copyright and Trademark Violations. AMI has the right, but not the obligation, to terminate the membership of any Member who infringes the copyrights or trademarks of others and to expeditiously remove or disable access to the alleged infringing material if AMI is given proper notice of the infringement or infringing conduct by the copyright or trademark owner. If you believe any materials (e.g., Member Content or Content) infringes your copyright or trademark, you may request removal of those materials from our Site by contacting us at info@accreditedmembers.com and providing the following information:
XI. General Disclaimer. AMI produces and publishes independent research reports as well as periodic news updates. Our reports and updates are for information purposes only. Readers should review all available information on any company mentioned in our reports or updates, including, but not limited to, the company’s annual report, quarterly report, press releases, as well as other regulatory filings.
AMI is not registered as a securities broker-dealer or an investment advisor either within the U.S. Securities and Exchange Commission or with any state securities regulatory authority.
